The undersigned Company/Customer, for itself and on behalf of its subsidiaries and affiliates, to induce LeafHub Solutions (“LeafHub”) to open an account for Company/Customer, and in consideration of each sale of goods which LeafHub hereafter makes to Company/Customer, hereby agrees as follows:
- If LeafHub sells products/goods to Company/Customer, the Sales Terms and Conditions attached hereto apply to all such sales.
- If credit is granted, all invoices are to be paid within 15 days from the date of invoice. LeafHub reserves the right, in its sole discretion, to extend, modify, or terminate credit at any time.
- Any and all claims must be made at the time of delivery of product/goods.
- By submitting this application, Company/Customer authorizes LeafHub Solutions to conduct credit and background checks, including inquiries into banking and business/trade references provided.
- Company/Customer represents that all information provided in this application, including any Blanket Resale Certificate, is true, accurate, and complete.
Delivery / Acceptance
Goods shall be delivered during normal business hours to the designated delivery location. Risk of loss passes to Customer upon receipt. Customer shall inspect all goods upon delivery and notify LeafHub of any defects or discrepancies at that time.
Compliance with Laws
Customer warrants that it holds all required licenses, permits, and authorizations to receive, handle, store, and sell cannabis products in compliance with all applicable laws and regulations, including those of the Maryland Cannabis Administration (MCA).
Payment Terms
Payment is due within 15 days of invoice unless otherwise agreed in writing. Any unpaid balance beyond this period shall accrue interest at a rate of 1.5% per month (or the maximum allowed by law). Customer agrees to pay all reasonable collection costs, including attorney’s fees.
Limitation of Liability
LeafHub Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages. LeafHub’s total liability shall not exceed the amount paid by Customer for the goods in question.
Product Warranty
LeafHub warrants that products are produced in compliance with applicable MCA standards. In the event of a defect, Customer’s sole remedy shall be, at LeafHub’s option: (a) Replacement of the defective product, or (b) Refund of the purchase price. LeafHub makes no other warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.
