Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “Customer”) and Krishnav Investments LLC, a Maryland limited liability company doing business as LeafHub Solutions (“LeafHub,” “we,” “us,” or “our”), governing your access to and use of the LeafHub website at leafhubsolutions.com, the LeafHub Customer Portal, and any products or services we offer (collectively, the “Services”).

By using the Services, submitting a customer agreement, registering for the Customer Portal, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Quick summary: LeafHub is a licensed Maryland cannabis processor selling wholesale products to other licensed cannabis businesses. To buy from us you must be a licensed business in good standing. All sales are subject to availability, applicable cannabis regulations, and the order-specific terms in your invoice.

1. Eligibility & Account Registration

1.1 Who can use the Services

Our wholesale Services are intended exclusively for businesses that are properly licensed under applicable state law to purchase, possess, and resell cannabis products. By submitting a customer agreement you represent and warrant that:

  • You are at least 21 years of age and have authority to bind the business you represent
  • Your business holds all licenses, permits, and registrations required to purchase and resell cannabis products in your operating jurisdiction(s)
  • All information you provide is accurate, current, and complete, and you will keep it updated
  • You will not resell, transfer, or distribute LeafHub products to any party that is not similarly licensed

1.2 Account approval

Submitting a customer agreement does not create a binding sales relationship. LeafHub reviews each agreement and may approve, deny, or request additional documentation at its sole discretion. We may revoke approval at any time if we determine a Customer no longer meets our eligibility requirements.

1.3 Account security

You are responsible for keeping your Customer Portal credentials confidential and for all activity that occurs under your account. Notify us immediately at support@leafhubsolutions.com if you suspect unauthorized access.

2. Orders, Pricing & Payment

2.1 Placing orders

Approved customers may place orders through the Customer Portal or by direct arrangement with our sales team. All orders are subject to acceptance by LeafHub and to product availability. We may decline, modify, or cancel any order in our discretion.

2.2 Pricing

Prices shown in the Customer Portal are quoted in U.S. dollars and may change without notice. The pricing that applies to your order is the pricing in effect when the order is confirmed by LeafHub. Discount codes and promotional pricing are subject to their own eligibility rules and expiration dates and are void if used in violation of these Terms.

2.3 Invoicing & payment

Invoices are issued through QuickBooks Online when an order is confirmed. Payment terms default to net 30 days from the invoice date unless otherwise agreed in writing. Accepted payment methods include credit card and ACH bank transfer via QuickBooks Payments, and other methods as we may offer from time to time. By submitting payment information you authorize us (and our payment processor) to charge the amounts you owe.

2.4 Late payments

Overdue amounts may be subject to a late fee of 1.5% per month (or the maximum allowed by law if lower), plus our reasonable costs of collection. We may also suspend further orders, withdraw existing discount eligibility, or terminate your account for past-due balances.

2.5 Taxes

Prices are exclusive of any sales, use, excise, cannabis excise, or other taxes that may apply. You are responsible for all applicable taxes other than taxes on our net income.

3. Shipping, Delivery & Risk of Loss

Delivery timing is an estimate, not a guarantee. Title and risk of loss pass to you upon delivery to your designated receiving address (or to a common carrier where applicable). You are responsible for inspecting orders upon receipt and reporting any shortage, damage, or non-conformity within three (3) business days of delivery.

4. Returns, Refunds & Cancellations

Because of the regulatory nature of cannabis products, returns are generally not accepted. We will work with you in good faith to address damaged or non-conforming product reported within the inspection window above. Refunds for paid invoices, when granted, are processed back to the original payment method. Cancellations are not permitted after an order has entered production unless mutually agreed in writing.

5. Compliance & Regulatory Matters

Cannabis is a state-regulated industry. Cannabis remains a controlled substance under U.S. federal law. The Services are offered only where permitted by state and local law. Compliance with all applicable laws governing your use, possession, distribution, and resale of cannabis products is solely your responsibility.

You agree to:

  • Comply with all applicable federal, state, and local laws, regulations, and licensing requirements
  • Maintain accurate records of LeafHub products you receive, store, and resell
  • Cooperate with reasonable regulatory and compliance requests from LeafHub or from regulatory authorities
  • Notify LeafHub promptly of any suspension, revocation, or material change to your business licenses

6. Intellectual Property

The Services and all content on them — including text, graphics, logos, the LeafHub name, product images, software, and the Customer Portal interface — are owned by LeafHub or our licensors and are protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your authorized business purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract source code from the Services without our written permission.

7. Acceptable Use

You agree not to:

  • Use the Services in any unlawful manner or for any unlawful purpose
  • Misrepresent your identity, business, or licensing status
  • Attempt to gain unauthorized access to any portion of the Services, other accounts, or our underlying systems
  • Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures
  • Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to develop a competing product or service

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, LEAFHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEAFHUB OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless LeafHub and our officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of applicable law; or (d) your resale or distribution of LeafHub products.

12. Termination

We may suspend or terminate your access to the Services, your account, or any specific order at any time, with or without notice, including for failure to comply with these Terms, loss of required licensing, non-payment, or any other reason in our discretion. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date and may provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts. You and LeafHub each waive any right to a jury trial in any such proceeding.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any customer agreement you have signed with us, constitute the entire agreement between you and LeafHub regarding the Services.
  • Severability. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our written consent; we may assign them freely in connection with a sale, merger, or restructuring of our business.
  • Force majeure. Neither party is liable for delays or failures caused by circumstances beyond reasonable control (natural disasters, war, acts of government, supply-chain disruption, pandemic, regulatory action).
